Terms of Service

These terms set the ground rules for using Uptoad to request, transfer, and deliver files to a connected Google Drive.

Agreement and eligibility

These Terms of Service (Terms) are between the person or organization using the Service and the Uptoad provider identified in the applicable order form, proposal, invoice, or account communication (Uptoad). By creating an account, accepting an invitation, submitting files, or otherwise using the Service, you agree to these Terms.

You must be legally able to enter into this agreement and at least 18 years old. If you use the Service for an organization, you confirm that you are authorized to bind that organization. If you do not agree, do not use the Service.

A separate signed service order or data processing agreement may apply. If it conflicts with these Terms, the signed agreement controls for that conflict.

The Service

Uptoad provides hosted workspaces and upload portals that let authorized users request, receive, track, and deliver files to a connected Google Drive. Features may include team access, branded portals, private request links, resumable uploads, receipts, audit events, and operational notifications.

The organization that creates or commissions a workspace (the Workspace Owner) configures its portals, decides who may access them, selects the Drive destination, and is responsible for its instructions to uploaders and team members.

Accounts and workspace authority

  • Provide accurate account information and keep it current.
  • Keep passwords, invitation links, request links, and receipt links confidential.
  • Use individual credentials where available and promptly remove access for people who no longer need it.
  • Notify Uptoad promptly of suspected unauthorized use or compromised Google credentials.
  • Workspace Owners are responsible for their members, portal configuration, upload requests, and activities performed through their accounts.

Uptoad may rely on instructions from workspace owners and administrators as authorized instructions for that workspace.

Acceptable use

You must not use the Service to:

  • break the law, violate another person's rights, or breach a duty of confidence;
  • upload malware, malicious code, or content intended to disrupt, overload, or damage a system;
  • probe, scan, bypass, or interfere with security, access controls, rate limits, tenant boundaries, or upload restrictions;
  • impersonate another person, misrepresent authority, send deceptive requests, or use the Service for phishing, spam, surveillance, or harassment;
  • upload content you do not have the right or lawful basis to process, including regulated or highly sensitive data where appropriate safeguards are not in place;
  • resell, sublicense, reverse engineer, scrape, or build a competing service from the Service except where applicable law does not permit that restriction; or
  • help anyone else do any of the above.

Uptoad may investigate suspected misuse and remove access or content where reasonably necessary to protect users, third parties, or the Service.

Your content

As between you and Uptoad, you retain ownership of files, text, logos, and other content you provide (Customer Content). You grant Uptoad a limited, non-exclusive license to host, transmit, copy, display, and otherwise process Customer Content only as necessary to provide, secure, support, and comply with lawful obligations relating to the Service.

You confirm that you have all rights, permissions, notices, and lawful bases required for Uptoad, Google, and the Workspace Owner to process Customer Content as instructed. You are responsible for the accuracy, legality, and consequences of Customer Content and for maintaining any independent backups you require.

Uptoad does not claim ownership of Customer Content and does not use it to train general-purpose AI models.

Google Drive and third parties

The Service depends on Google Drive and may depend on hosting, database, and notification providers. Use of those services may be subject to their own terms and policies. Uptoad does not control their availability, quotas, account restrictions, or changes.

A Workspace Owner authorizing Google Drive instructs Uptoad to create and access files using the limited permissions shown during consent. The Workspace Owner is responsible for the connected Google account, storage capacity, destination folders, sharing settings, and retention of delivered files. Disconnecting Drive stops future access but may not delete files already stored there.

Privacy and data protection

The Privacy Policy explains how Uptoad handles personal information. A Workspace Owner is responsible for its own privacy notices, legal bases, retention instructions, data subject requests, and any other controller or business obligations concerning Customer Content and submitter data.

If applicable, the parties will enter into a data processing agreement. Each party will comply with the data protection laws that apply to its role.

Fees and subscriptions

Fees, plan limits, billing periods, taxes, renewal, and cancellation terms are stated in the applicable service order or checkout. Unless that document says otherwise, fees are non-refundable except where required by law. Failure to pay an undisputed amount when due may result in restricted access or suspension after reasonable notice.

A free trial may be modified or ended at any time. Data should be exported before a trial or subscription ends.

Availability and changes

Uptoad aims to provide a reliable Service but does not promise uninterrupted or error-free operation unless a signed service level agreement says otherwise. Maintenance, security incidents, internet conditions, Google outages, or events outside reasonable control may affect availability.

Uptoad may add, change, or discontinue features. Where a change materially reduces paid core functionality, reasonable advance notice will be given when practical.

Suspension and termination

You may stop using the Service at any time and may cancel under the applicable service order. Uptoad may suspend or terminate access for material breach, non-payment, security risk, unlawful use, harm to the Service or others, or where continued provision would violate law or a third-party service requirement. When practical, Uptoad will give notice and an opportunity to cure.

After termination, access may end and account data may be deleted according to the Privacy Policy, service order, and applicable law. Files already delivered to Google Drive remain under the control of the Drive owner. Terms that by their nature should survive, including ownership, payment, disclaimers, liability limits, and general terms, will survive.

Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Uptoad disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Uptoad does not warrant that every upload will complete, that Customer Content will never be lost, or that third-party services will remain available.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunity, or data, even if advised that such loss was possible.

Uptoad's total liability arising from or related to the Service will not exceed the amount paid or payable for the Service during the 12 months before the event giving rise to the claim. This limit does not apply where liability cannot legally be limited or where a signed service order expressly provides a different limit.

Indemnity

To the extent permitted by law, an organization using the Service will defend and indemnify Uptoad against third-party claims, damages, and reasonable costs arising from its Customer Content, unlawful use, breach of these Terms, or violation of another person's rights. This obligation does not apply to the extent a claim results from Uptoad's own breach, negligence, or willful misconduct.

General terms

  • Changes: Uptoad may update these Terms. Material changes will be communicated through the Service or account contact and will apply prospectively.
  • Governing law: the governing law and courts are those stated in the service order. If none is stated, they are those of Uptoad's principal place of business, without regard to conflict-of-law rules, subject to mandatory local law.
  • Assignment: you may not assign these Terms without Uptoad's prior written consent. Uptoad may assign them as part of a merger, reorganization, or sale of the relevant business.
  • Notices: electronic notices may be sent to the email associated with the account or displayed in the Service.
  • Entire agreement: these Terms, the Privacy Policy, and any applicable signed service order form the complete agreement about the Service. Failure to enforce a term is not a waiver. If a term is unenforceable, the rest remains effective.
